Contra proferentem

Contra proferentem is a Latin phrase that means "against the offer-maker". It means that if you are making an offer or agreement and the other person does not understand or agree with something, the courts will usually decide in favour of the person who did not make the offer. This is to make sure that someone who makes an offer cannot take advantage of someone else who does not understand all the details.
